Entity structure

African Sahara Charity Foundation (ASCF) is a U.S.-based Delaware non-stock nonprofit corporation recognized by the Internal Revenue Service as a tax-exempt public charity under Section 501(c)(3). The Foundation operates through an independent governance structure designed to ensure transparency, accountability, fiduciary responsibility, and long-term institutional sustainability.

Pillars of governance

• Independent Board of Directors — Provides strategic oversight, fiduciary stewardship, and organizational accountability.
• Amended and Restated Bylaws — The Foundation's Bylaws define the authority and responsibilities of the Board of Directors, officers, committees, meetings, financial oversight, conflicts of interest, institutional accountability, and organizational governance. Status: In Development. Public access will be provided following completion and formal Board adoption.
• Institutional Policies — Define standards for ethics, conflicts of interest, financial management, data protection, accessibility, and compliance.
• Code of Ethics — Establishes the principles of integrity, accountability, respect, transparency, stewardship, and service that guide every director, officer, employee, volunteer, advisor, consultant, and representative of the Foundation. View Code of Ethics →
• Conflict of Interest Policy — Requires timely disclosure, recusal, independent review, and documentation whenever personal, professional, family, or financial interests could affect Foundation decision-making. View Conflict of Interest Policy →
• Transparency Center — Publishes governance documents, financial reports, annual reports, policies, and organizational disclosures to promote public trust.
